JRG Advisors, LLC (JRG Advisors) is a
new entity formed by Rick and Jessica Galardini. They were previously
employed by Hilb Rogal & Hobbs (HRH), one of the
largest insurance brokerage and consulting firms in the country.
During their 15 year tenure with HRH, Rick and Jessica started the
Affinity Marketing Group Division of HRH (Affinity)
and grew it to become one of the largest specialty groups of its
type in the United States. JRG Advisors will specialize in providing
employee benefits, business insurance and financial products and
services to owners of small to mid sized companies, and to employermembers
of professional and trade associations such as the Chambers of Commerce,
Home Builders, Restaurants, and Nonprofit Health and Human Services
Agencies.
Source Capital, Ltd. was retained by Mr. and Mrs.
Galardini to serve as their exclusive financial advisor to develop
an acquisition offer, manage related negotiations, and provide assistance
related to arranging funding for the acquisition. Financing the
acquisition presented a unique challenge because the Companys
assets are primarily commission and fee income, rather than tangible
property.
In December 2006, the transaction was successfully
completed. JRG Advisors began 2007 as a new entity with adequate
cash flow to meet operating needs, and is now identifying growth
opportunities and persistency strategies. JRG Advisors will continue
to rely upon Source to identify, finance and acquire related companies
as soon as they have settled operations into a new Pittsburgh-based
location.
Since 1982, Source Capital, Ltd. has assisted clients
on matters related to management-led buyouts of divisions and subsidiaries
of larger companies, negotiating and financing acquisitions, and
developing and implementing business growth strategies. Source has
considerable experience within the insurance and financial services
industry. If you are considering a management buyout or strategic
acquisition, our services can add value to your negotiating process.
