
E. A. Holdings, Inc was founded in 1995 with a vision
of changing the traditional business model that applied to the oilfield
metals distribution market. The strategy was to become a value-added
supply chain partner of its customers in an industry that was traditionally
transaction oriented and adversarial. The Companys Management
Team also understood the critical need for Internet-based information
technology for real-time inventory and transaction processing.
The Companys approach was well received and
growth ensued. With growth comes the need for capital and the Company
formed a joint venture with a family-controlled public company,
which operated steel distribution centers. The public company was
to provide growth capital and management guidance. The steel industry
was under considerable strain for several in the early 2000s and
E. A. Holdings, Inc., which was growing and profitable, found that
its "strategic capital partner" was not meeting its obligations.
In fact, the relationship had slowed the Companys growth and,
the owners feared, the public company was attempting to "squeeze-out"
the entrepreneurs that had founded the business. In essence, trying
to take their growing and profitable company.
Making matters worse, the entrepreneurs had entered
into a complicated joint venture agreement, which made it difficult
to sever the relationship with the non-performing capital partner.
E. A. Holdings, Inc. needed help. Their accounting firm referred
them to Source Capital, Ltd. Working closely with the Companys
law firm, Source developed a unique negotiating approach, which
supported an interesting legal argument regarding the right to dissolve
the partnership coupled with a recapitalization and growth strategy.
The tables were turned. But, there was a heavy-handed response.
In the end, swift thinking, skillful analysis and negotiation, and
a workable financing strategy moved the resolution to a favorable
